1. Introduction and acceptance

1.1. These Terms and Conditions ("Terms") govern access to and use of Täbiau, including its website, web application, mobile web application, associated services, features and tools (collectively, the "Service").

1.2. Täbiau is operated by Graham Crichton trading as Täbiau ("Täbiau", "we", "us" or "our").

1.3. By registering an account, clicking to accept these Terms or accessing the Service, you agree to be legally bound by them.

1.4. If you accept these Terms on behalf of a business or organisation, you confirm that you have authority to bind that business or organisation to them. In that case, "you" and "your" refer to that business or organisation.

1.5. Täbiau is intended for business and professional use, not personal, domestic or household use. By registering, you confirm that you are acting for business purposes.

1.6. If you do not agree to these Terms, you must not use the Service.

1.7. These Terms should be read alongside our Privacy Notice, Data Processing Agreement and any additional terms expressly applicable to a service or feature you use.

2. The Service

2.1. Täbiau is an online business management platform designed to help users organise and manage aspects of their business.

2.2. Features may include customer management, bookings, scheduling, business records, communications, products, payments, reporting, automation, integrations and AI-assisted tools.

2.3. The features available to you depend on your selected edition, subscription, purchased add-ons and applicable usage limits.

2.4. We may introduce, modify, improve, replace or discontinue features as the Service develops.

2.5. We will use reasonable efforts to provide the Service with reasonable care and skill. However, software may contain errors, bugs, inaccuracies or interruptions.

2.6. Täbiau is intended to assist with business operations. It is not a substitute for your own judgement, record-keeping, supervision or compliance responsibilities.

2.7. We do not guarantee that every feature will meet every business requirement or be suitable for every particular purpose.

3. Accounts and access

3.1. You must provide accurate and current information when registering an account.

3.2. You are responsible for maintaining the confidentiality of your login credentials and ensuring that your authorised users follow these Terms.

3.3. You must not share login credentials with unauthorised persons.

3.4. You are responsible for granting appropriate permissions to staff, contractors and other authorised users.

3.5. You must notify Täbiau promptly if you suspect unauthorised account access or a security breach.

3.6. We may temporarily restrict account access where reasonably necessary to protect the Service, its users or their data.

3.7. You must not attempt to bypass account restrictions, subscription limits, security mechanisms or access controls.

4. Acceptable use

4.1. You agree to use Täbiau lawfully, responsibly and only for legitimate business purposes.

4.2. You must not:

  • Use the Service for illegal, fraudulent, deceptive or abusive activities.
  • Upload unlawful, malicious, infringing or otherwise prohibited material.
  • Distribute spam or unsolicited communications in breach of applicable law.
  • Attempt to gain unauthorised access to another account, system or network.
  • Introduce viruses, malware or other harmful software.
  • Reverse engineer, copy, redistribute or commercially exploit the Service except where permitted by law or expressly authorised.
  • Use automated systems to scrape, overload, disrupt or interfere with the Service.
  • Circumvent payment requirements, usage limits or subscription restrictions.
  • Use the Service in a way that infringes another person's intellectual property, privacy or other legal rights.
  • Use Täbiau to harass, threaten, discriminate against or deliberately harm others.

4.3. You are responsible for ensuring that your business activities and use of the Service comply with all applicable laws and regulations.

4.4. We reserve the right to investigate suspected misuse and restrict, suspend or terminate accounts where reasonably justified.

5. Customer data and ownership

5.1. You retain ownership of, or your existing rights in, the information, records, files, communications and other content you upload, enter or create within the Service ("Customer Data").

5.2. You grant Täbiau the rights necessary to host, store, process, transmit, back up and otherwise handle Customer Data for the purpose of providing the Service, in accordance with these Terms and applicable data protection arrangements.

5.3. You confirm that you have the necessary rights and lawful basis to collect, store and process Customer Data through Täbiau.

5.4. You are responsible for the accuracy, completeness, legality and appropriate use of Customer Data.

5.5. Where Customer Data includes personal information relating to your clients, staff or other individuals, you are responsible for fulfilling your obligations as a data controller where applicable.

5.6. Täbiau will process personal data in accordance with applicable data protection law, its Privacy Notice and, where applicable, its Data Processing Agreement.

5.7. Nothing in these Terms removes or restricts obligations or rights that cannot legally be excluded under data protection legislation.

6. Data storage, backups and loss

6.1. We will use appropriate technical and organisational measures to protect Customer Data, in accordance with our applicable legal and contractual obligations.

6.2. However, no internet-based service can guarantee uninterrupted availability, absolute security or complete protection against every possible form of technical failure or data loss.

6.3. You acknowledge that data may be affected by software defects, accidental deletion, incorrect user actions, equipment failures, cyber incidents, integration failures or circumstances beyond our reasonable control.

6.4. You are responsible for maintaining appropriate independent copies or exports of business-critical information and for checking the accuracy and completeness of your records.

6.5. Where backup and recovery systems are provided, they are intended to support operational resilience. They do not guarantee that every individual record or previous version of a record can be restored.

6.6. We will take reasonable steps to investigate and address reported data issues and to restore affected data where reasonably possible.

6.7. Our liability for data loss, corruption, unauthorised access or unavailability is subject to Section 18, without restricting any liability or legal obligation that cannot lawfully be excluded.

7. Software errors and automated operations

7.1. Täbiau may contain programming errors, calculation errors, display inaccuracies, unexpected behaviour or other technical defects.

7.2. These may affect, for example, bookings, customer records, invoices, calculations, reminders, notifications, automated workflows, generated documents and reports.

7.3. You are responsible for reviewing business-critical information and checking automated actions before relying on their results.

7.4. We do not guarantee that every booking, notification, reminder, message or automated action will be created, processed, sent, received or completed successfully.

7.5. You should maintain appropriate procedures for confirming important bookings, payments, deadlines, communications and business transactions.

7.6. If you discover an error, you should report it to us promptly and provide reasonable information to assist with its investigation.

7.7. We will use reasonable efforts to investigate and resolve material defects, but we do not guarantee that every issue can be corrected immediately or within a particular timeframe unless expressly agreed.

8. AI-assisted features

8.1. Certain features may use artificial intelligence, machine learning, optical character recognition or other automated technologies.

8.2. AI-generated or automatically extracted information may be inaccurate, incomplete, outdated, misleading or unsuitable for your specific circumstances.

8.3. You must review and verify AI-generated content and automated outputs before relying on them, particularly where they affect customers, payments, financial records, legal matters or important business decisions.

8.4. AI-assisted features are provided as tools to support your work, not as a substitute for professional advice or independent decision-making.

8.5. AI features may have usage restrictions, processing limits or other conditions depending on your subscription or purchased allowances.

8.6. We may modify, replace, restrict or withdraw particular AI capabilities, including where required for security, compliance or third-party service availability.

8.7. Personal data processed through AI-assisted features remains subject to our applicable data protection arrangements.

9. Financial, accounting and tax information

9.1. Täbiau may provide features for creating invoices, recording transactions, calculating amounts, handling payments, producing reports or sharing information with accounting and tax systems.

9.2. You remain responsible for the accuracy and completeness of your business and financial records.

9.3. You must verify figures, tax treatment, calculations and submissions before relying on them or submitting them to third parties or authorities.

9.4. Täbiau does not provide legal, accounting, tax or regulated financial advice.

9.5. Nothing within the Service constitutes a guarantee of compliance with HMRC, VAT, Making Tax Digital or any other legal or regulatory requirement.

9.6. Täbiau is not responsible for penalties, interest, missed filing deadlines or incorrect financial decisions resulting from inaccurate information supplied by you or unverified outputs, except to the extent that liability cannot lawfully be excluded.

10. Third-party services and integrations

10.1. Täbiau may connect to external platforms, including payment providers, accounting software, communications services, calendars and other third-party systems.

10.2. These services may be subject to their own terms, fees, privacy notices and availability requirements.

10.3. We do not control third-party services and cannot guarantee their continued availability, compatibility, performance or accuracy.

10.4. Third-party providers may change or discontinue their interfaces, APIs, pricing or services without notice to us.

10.5. We may suspend or remove an integration where required by technical limitations, provider restrictions, security concerns or applicable law.

10.6. You are responsible for confirming that transactions, payments and information transfers between systems have completed correctly.

10.7. Täbiau is not responsible for failures occurring solely within systems operated by independent third parties, unless the applicable law or an express contractual obligation provides otherwise.

11. Communications and messaging

11.1. Where Täbiau allows you to send emails, notifications, reminders or other communications, you are responsible for their content, recipients and lawful use.

11.2. You must obtain any necessary permissions or consents before contacting individuals.

11.3. You must comply with applicable privacy, electronic marketing and anti-spam laws.

11.4. We cannot guarantee successful delivery, immediate receipt or accurate display of communications by external messaging providers or receiving systems.

11.5. You are responsible for checking important communications, especially those relating to appointments, cancellations, payments and contractual commitments.

11.6. We may restrict messaging features where necessary to prevent abuse, maintain deliverability or comply with provider requirements.

12. Subscriptions, pricing and payments

12.1. Access to particular features may require a paid subscription, edition, add-on or other purchase.

12.2. Current prices, included features, billing periods and applicable limits will be displayed before purchase.

12.3. Subscription fees are payable in accordance with the billing arrangements accepted when purchasing.

12.4. Subscriptions may renew automatically where this is clearly disclosed and agreed at checkout.

12.5. Unless otherwise stated at purchase, you may cancel renewal before the next billing date. Access to paid features will normally continue until the end of the current paid period.

12.6. Payments already made are generally non-refundable except where required by law, expressly provided in the applicable offer or justified by an unremedied material breach by Täbiau.

12.7. We may change subscription prices by giving reasonable advance notice. Changes will ordinarily apply from your next renewal period.

12.8. If a payment fails, we may suspend paid features after providing reasonable notice and an opportunity to resolve the issue.

12.9. Taxes will be charged and displayed in accordance with applicable law.

13. Free trials and free editions

13.1. We may offer a free trial, free edition or promotional access to certain features.

13.2. Unless a particular offer expressly provides otherwise, free trials are limited to the advertised period and do not create a right to permanent access to paid features.

13.3. Täbiau's advertised 30-day free trial does not require a payment card. You will not be charged for a paid subscription unless you separately authorise one.

13.4. Access to particular free editions may depend on eligibility requirements, including completion of specified training or onboarding activities.

13.5. Free and promotional services may have restrictions on features, storage, users or usage.

13.6. We may amend or discontinue future promotional offers. Any existing entitlement will be handled according to the terms under which it was granted and applicable law.

14. Service availability and maintenance

14.1. We aim to provide a reliable and accessible Service.

14.2. However, Täbiau may occasionally be unavailable due to planned maintenance, updates, technical problems, internet failures, security incidents or circumstances beyond our reasonable control.

14.3. We do not guarantee uninterrupted, error-free or continuous availability unless expressly agreed under a separate service-level agreement.

14.4. We will endeavour to provide advance notice of planned maintenance where practicable.

14.5. Emergency maintenance or security measures may be carried out without advance notice where reasonably necessary.

14.6. We may implement software updates, fixes and improvements to maintain security, compatibility and functionality.

15. Suspension and termination

15.1. You may cancel your subscription in accordance with the applicable billing and cancellation terms.

15.2. We may suspend or terminate access where you materially breach these Terms, engage in unlawful activity, create a security threat or fail to pay required fees.

15.3. Where reasonably practicable and appropriate, we will provide notice and an opportunity to remedy a breach before terminating your account.

15.4. We may act immediately where necessary to protect users, personal data, the Service or third parties.

15.5. When your subscription or account ends, access to paid features may cease.

15.6. You should export any information you require before terminating your account.

15.7. Following termination, we will handle the return, retention and deletion of Customer Data in accordance with our Data Processing Agreement, Privacy Notice and applicable law.

15.8. The period and method available for post-termination data retrieval will be specified in our Data Processing Agreement or applicable account closure procedure.

15.9. Provisions intended to continue after termination, including intellectual property, confidentiality, liability and dispute resolution, shall survive termination.

16. Intellectual property

16.1. Täbiau and its associated software, design, branding, content, interfaces and underlying technology are owned by us or our licensors.

16.2. We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes while your account is authorised and active.

16.3. You must not copy, sell, licence, reproduce or commercially exploit the Service without written permission, except where applicable law expressly permits.

16.4. You retain your existing rights in Customer Data.

16.5. Suggestions or feedback you voluntarily provide may be used to improve the Service without creating an obligation to compensate you, provided doing so does not override your intellectual property or data protection rights.

17. Confidentiality

17.1. Each party shall take reasonable care to protect the other party's confidential information obtained through the contractual relationship.

17.2. Confidential information may be used only where necessary to fulfil contractual obligations or exercise rights under these Terms.

17.3. Confidentiality obligations do not apply to information lawfully in the public domain, already independently known, independently developed or lawfully obtained from another source without a duty of confidence.

17.4. Disclosure is permitted where required by law or to professional advisers who are subject to appropriate confidentiality obligations.

17.5. Personal data is additionally protected by applicable data protection law and contractual data processing requirements.

18. Limitation of liability

18.1. Liabilities that cannot be excluded

Nothing in these Terms excludes or restricts liability for:

  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Any liability that cannot lawfully be excluded or restricted.
  • Any obligation or remedy that applicable law does not permit the parties to exclude or restrict.

18.2. Excluded business losses

Subject to Section 18.1, and to the fullest extent permitted by applicable law, Täbiau shall not be liable for:

  • Loss of profits, revenue, anticipated savings or business opportunities.
  • Loss of goodwill or reputation.
  • Business interruption or downtime.
  • Missed appointments, bookings, enquiries or sales.
  • Losses resulting from inaccurate information supplied by a user.
  • Losses arising from reliance on unverified reports, calculations, generated content or automated outputs.
  • Failures of external services, payment providers, integrations or telecommunications systems outside our reasonable control.
  • Indirect or consequential loss or damage.

These exclusions apply whether a claim is based on contract, negligence or another legal basis, to the extent permitted by law.

18.3. Data-related losses

Subject to Section 18.1, we shall not be responsible for data losses caused by your unauthorised actions, accidental deletion, inadequate independent records, misuse of the Service or failures of systems outside our reasonable control.

Where loss or corruption of Customer Data results from a breach of our contractual obligations, any liability will be assessed under applicable law and subject to the limitation in Section 18.4 where legally permitted.

18.4. Overall financial liability cap

Subject to Section 18.1, Täbiau's total aggregate liability to you arising from or relating to the Service in any rolling 12-month period shall not exceed the greater of:

(a) £500; or

(b) the total subscription fees paid or payable by you to Täbiau during the 12 months immediately preceding the event giving rise to the claim.

This cap applies to all claims collectively, whether arising in contract, negligence or otherwise, to the extent permitted by law.

18.5. Allocation of responsibility

The limitations in this section reflect the nature and pricing of the Service, the business responsibilities retained by each party and the availability of independent business controls.

18.6. Legal enforceability

Every exclusion and limitation is intended to operate only to the extent it is reasonable, lawful and enforceable under the laws applicable to the agreement.

19. Customer responsibility and indemnity

19.1. You are responsible for the lawful operation of your business and your use of Täbiau.

19.2. You agree to indemnify Täbiau against reasonable losses, liabilities and costs arising from third-party claims to the extent directly caused by:

  • Customer Data that you were not legally entitled to use or process.
  • Your unlawful communications or business activities through the Service.
  • Your deliberate misuse of the Service.
  • Your material breach of these Terms that causes a third party to bring a claim.

19.3. This indemnity does not apply to the extent a claim arises from Täbiau's own breach, negligence or unlawful conduct.

19.4. We will notify you of relevant third-party claims within a reasonable time and take reasonable steps to avoid unnecessary costs.

20. Events beyond reasonable control

20.1. Neither party shall be responsible for a delay or failure in performing its contractual obligations, excluding payment obligations, where caused by circumstances beyond its reasonable control.

20.2. Such circumstances may include widespread internet outages, major infrastructure failures, natural disasters, war, civil emergencies, government restrictions or significant third-party service disruption.

20.3. The affected party must take reasonable steps to minimise the impact and resume performance where possible.

20.4. This provision does not excuse failures caused by a party's own negligence or failure to take reasonable precautions.

21. Changes to these Terms

21.1. We may update these Terms from time to time to reflect legal, operational, technical or commercial changes.

21.2. We will provide reasonable advance notice of material changes, normally at least 30 days, unless an earlier change is required by law, security or another urgent reason.

21.3. Updated Terms will be published with a revised effective date.

21.4. Where a material change adversely affects your existing paid subscription, you may reject the change and terminate the affected subscription before it takes effect. Any appropriate refund of unused prepaid fees will be determined under applicable law and the circumstances of the change.

21.5. Continued use of the Service after properly notified updated Terms take effect will constitute acceptance where legally permitted.

21.6. Changes will not retrospectively remove rights or liabilities that have already arisen.

22. Complaints and dispute resolution

22.1. We encourage customers to contact us first regarding any concern or dispute so that we have an opportunity to investigate and resolve it.

22.2. Complaints and legal notices may be sent to support@tabiau.com, unless a different formal notice address has been expressly provided.

22.3. Both parties agree to make reasonable efforts to resolve contractual disputes through good-faith discussions before commencing formal legal proceedings, except where urgent court action is reasonably necessary.

23. Governing law and exclusive jurisdiction

23.1. These Terms, the contractual relationship between you and Täbiau, and any dispute or claim arising from or connected with them, including non-contractual disputes or claims, shall be governed by and interpreted in accordance with the laws of Northern Ireland.

23.2. The parties irrevocably agree that the courts of Northern Ireland shall have exclusive jurisdiction to settle any dispute or claim arising from or connected with these Terms, their subject matter or formation, or the use of the Service.

23.3. Each party submits to the exclusive jurisdiction of the courts of Northern Ireland and agrees not to commence proceedings concerning such disputes in another jurisdiction, except where mandatory applicable law requires otherwise.

23.4. Nothing in this section overrides jurisdictional protections or other rights that cannot lawfully be excluded by agreement.

24. General provisions

24.1. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in effect.

24.2. Failure or delay in enforcing any provision shall not constitute a waiver of the right to enforce it subsequently.

24.3. You may not transfer your contractual rights or obligations without our prior written consent, which will not be unreasonably withheld.

24.4. We may transfer our rights and obligations as part of a legitimate business reorganisation, sale or succession, provided that applicable legal obligations and your rights are respected.

24.5. These Terms, together with documents expressly incorporated into them and your agreed subscription details, constitute the agreement governing your use of the Service.

24.6. Nothing in these Terms creates a partnership, employment relationship or agency between the parties.

24.7. No person who is not a party to these Terms has any right to enforce them, except where applicable law provides otherwise.
